About The way our cooporate governance work

The Board's Chairman, together with the lead director, is responsible for the management, development and effective performance of the Board, for monitoring the Corporation's development through regular contact with the President and CEO, and for ensuring that the Board regularly receives reports concerning the development of the Company's business and operations, including progress in respect of profits, liquidity and significant contractual matters.

The board of directors is primarily responsible for supervising the management of the Corporation's business and affairs. Its authority is determined by the provisions of the Business Corporations . In addition, the Board's activities are governed by a set of procedural rules which are adopted by the Board. The Board regularly reviews its guidelines and policies and, not less than annually, considers how its corporate governance practices align with guidelines established by the regulatory authorities 

  • Provide entrepreneurial leadership of the Company within a framework of prudent and effective controls which enable risks to be identified, assessed, managed and mitigated;
  • Set and approve the Company’s strategy and objectives, operating plans, key transactions, material contracts and budgets;
  • Ensure that the necessary financial and human resources are in place for the Company to meet its objectives and review management performance;
  • Set the Company’s values and standards and ensure that its obligations to its shareholders and others are understood and met;
  • Ensure stewardship in the financial affairs of the Company; and
  • Ensure effective communication as it relates to the Company and its business with all stakeholders, including employees, the public and other interested parties.

  • An annual operating and capital budget and a business plan for Viewlance Inc.;
  • Identification of the principal risks to Viewlance Inc.’s business and ensuring the implementation of appropriate systems to manage these risks;
  • Succession planning, including appointing, training and monitoring senior management; and
  • A communications policy for Viewlance Inc. to facilitate communications with investors and other interested parties.
